Can someone give me some advice on how to respray a helmet in good condition.

I need to know how to prepare it, what to prime it with etc.

I am going to spray it matt black

I used sand paper to prepare the surface. Just lightly sand the surface of the helmet and wipe it off with a damp cloth to get all the dust off. I then bought spray paint that is used on plastic (forgot what brand), it was like $5.00. I then taped off the parts I didn't want painted and started spraying very light the first coat. Then I put on an additional 3 to 4 very light coats.

I painted mine a gloss black and it came out looking pretty good.

I'd just add that you shouldn't spray the helmet at all if it's polycarbonate, the paint affects it in such a way that it becomes fairly useless as a crash helmet.

Where is it listed on the helmet whether its polycarbonate or not?
